Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of PixStudio ("the Service," "we," "our," or "us"), a Shopify application that provides AI-powered image and video processing services for e-commerce merchants.

By installing, accessing, or using PixStudio, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Service. These Terms apply to all users of the Service, including merchants, store owners, and any authorized users.

Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use PixStudio. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

Account Registration and Security

To use PixStudio, you must have an active Shopify account and install our application from the Shopify App Store. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or security breaches
• Accept responsibility for all activities under your account

Service Description

PixStudio provides the following services:

• AI-powered enhancement and transformation of product images
• Generation of cinematic product videos from static images
• Background removal and replacement with AI-generated scenes
• Automatic synchronization with your Shopify product catalog
• Batch processing of multiple product images

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, though we will make reasonable efforts to notify you of material changes.

Subscription and Billing

Pricing and Payment

PixStudio offers various subscription plans with different features and usage limits. By subscribing to a paid plan:

• You authorize us to charge your payment method on a recurring basis
• Subscription fees are billed through Shopify's billing system
• All fees are non-refundable except as required by law or stated in these Terms
• You are responsible for all applicable taxes

Free Trials

We may offer free trials at our discretion. Free trials are subject to the same Terms, and you may cancel anytime during the trial period without charge. If you do not cancel before the trial ends, you will automatically be billed for the subscription.

Cancellation and Refunds

You may cancel your subscription at any time through your Shopify admin panel. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods, except in cases of service failure or as required by law.

Acceptable Use Policy

You agree not to use PixStudio to:

• Upload or process content that infringes on intellectual property rights
• Generate or distribute illegal, harmful, or offensive content
• Process images containing explicit, violent, or discriminatory material
• Attempt to reverse engineer, decompile, or extract our AI models
• Use the Service to create competing AI products or services
• Engage in automated scraping or data mining without authorization
• Overload or interfere with the Service's infrastructure
• Violate any applicable laws or regulations
• Upload images of people without proper consent or for unauthorized purposes

Intellectual Property Rights

Your Content

You retain all ownership rights to the images you upload ("Your Content"). By using the Service, you grant us a limited license to process, store, and display Your Content solely for the purpose of providing the Service. You represent and warrant that you have all necessary rights to Your Content and that its use does not violate any third-party rights.

Generated Content

You own the AI-generated images and videos created through our Service ("Generated Content"), subject to our underlying intellectual property rights in the Service itself. You may use Generated Content for commercial purposes in connection with your Shopify store.

Our Service

The Service, including our AI models, software, algorithms, trademarks, and all related intellectual property, remains our exclusive property. These Terms do not grant you any rights to our intellectual property except as necessary to use the Service.

Content Guidelines and Restrictions

When using PixStudio, you must ensure that all uploaded content:

• Complies with all applicable copyright and trademark laws
• Does not contain personal information of individuals without consent
• Is appropriate for commercial product photography purposes
• Does not violate Shopify's Acceptable Use Policy
• Does not contain malware, viruses, or malicious code

Service Availability and Support

While we strive to provide reliable service, we do not guarantee uninterrupted or error-free operation. The Service may be subject to:

• Scheduled maintenance and updates
• Temporary outages due to technical issues
• Performance variations based on usage volume
• Third-party service dependencies (Shopify, cloud providers)

We provide customer support via email during business hours. Response times may vary based on issue complexity and subscription tier.

Disclaimers and Warranties

We do not warrant that:

• The Service will meet your specific requirements or expectations
• AI-generated content will be free from errors or artifacts
• The Service will be uninterrupted, secure, or error-free
• Any defects or issues will be corrected within a specific timeframe

Limitation of Liability

Indemnification

You agree to indemnify, defend, and hold harmless PixStudio, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) Your Content or Generated Content.

Termination

Either party may terminate this agreement at any time:

• By You: You may cancel your subscription and uninstall the app at any time
• By Us: We may suspend or terminate your access if you violate these Terms or engage in prohibited activities

Upon termination, your right to use the Service immediately ceases. We may delete Your Content and Generated Content after termination, though we may retain copies as required by law or legitimate business purposes.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use of PixStudio after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

Governing Law and Dispute Resolution

These Terms are governed by the laws of France, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through:

• Good faith negotiations between the parties
• Binding arbitration if negotiations fail (except where prohibited by law)
• The exclusive jurisdiction of courts in France for non-arbitrable matters

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PixStudio regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
